·货款保留权： 如有必要，规定在特定条件下可以暂停支付或保留一部分款项。

 

·付款确认和接收确认： 规定支付方和收款方应如何确认支付和收款，以及确认后的时间表。

价格确定：

The total price for the goods specified in this Agreement shall be $100,000, broken down as follows:

支付条件：

All payments shall be made via bank wire transfer to the Seller's designated bank account. The initial payment shall be made within seven (7) days of signing this Agreement. Subsequent installments shall be paid on the first business day of each month.

所有付款应通过银行电汇至销售方指定的银行账户。首付款应在签订本协议后七（7）天内完成。后续分期付款应在每月的首个工作日支付。

 

逾期付款：

If any payment is delayed beyond the stipulated due date, a late fee of 3% of the overdue amount shall be charged per month until full payment is received.

如果任何付款超过规定的到期日期，逾期金额将按照逾期金额的3%收取滞纳金，直至收到全部款项为止。

 

发票要求：

The Seller shall provide an itemized invoice for each payment installment within five (5) business days after the payment due date.

销售方应在每个付款到期日后的五（5）个工作日内提供每期付款的详细发票。

 

货款保留权：

The Buyer reserves the right to retain 10% of each installment until the completion of the project and acceptance of the delivered goods, to ensure compliance with the agreed-upon specifications.
