在公司章程中，对于股东决议付诸表决，通常会用到一个固定的结构，即resolution put to the vote，一般出现在股东大会程序条款中，当提到会议付诸表决的决议以何种方式进行表决时，这样的表达方式会显得更为准确一些。

示例一：

A resolution put to the vote of the meeting shall be decided a poll and not on the basis of a show of hands.

会议上付诸表决的决议应当通过投票决定，而不是以举手表决的方式进行。

示例二：

At any general meeting a resolution put to the vote of the meeting shall be decided on a show of hands, unless a poll is (before or on the declaration ofthe result of the show of hands) demanded by one or more Members present in person or by proxy entitled to vote and who together hold not less than 10 percent of the paid up voting share capital of the Company.

在任何股东大会上，在会议上付诸表决的决议应通过举手表决方式决定，除非亲自或通过代理人参加会议、拥有表决权且合计持有公司有表决权的实收股本的至少百分之十的一名或多名股东（在宣布举手表决结果之前或之时）要求投票表决。
