倒卖文物罪（Crime of reselling cultural relics），是指以牟利为目的，倒卖国家禁止经营的文物，情节严重的行为。此罪名为情节犯，情节特别严重的升格量刑。侵犯的是国家文物流通管理制度。

《刑法》第326条规定：

以牟利为目的，倒卖国家禁止经营的文物，情节严重的，处五年以下有期徒刑或者拘役，并处罚金；情节特别严重的，处五年以上十 年以下有期徒刑，并处罚金。

单位犯前款罪的，对单位判处罚金，并对其直接负责的主管人员和其他直接责任人员，依照前款的规定处罚。

“情节严重的”，是指以牟利为目的，倒卖国家禁止经营的文物，交易数额大，造成珍贵文物流失或者获取非法利益数额较大等情形。

出售或者为了出售而收购、运输、储存国家禁止经营的文物的，都应当认定为“倒卖”，都应当依法追究刑事责任。
