鉴于条款（whereas clause），又称叙述性条款（narrative clause）。在国际许可证协议中，由双方当事人就双方订约的目的、希望和意图所作的陈述性说明。如供方就供方的职业背景、转让技术的合法性和实际经验等作的说明；接受方对其接受标的的要求和目标所作的说明等。一旦发生争论，鉴于条款对于双方订约的目的与意图以及解释某些具体条款会起一定的作用，因此应当慎重对待鉴于条款，努力使鉴于条款的原则与具体条款的内容相一致。

鉴于条款分为两种：

1，描述事实的陈述部分（narrative recital）作用在于表述合同或契据赖以发生的事实

2，引导性事实陈述部分（introductory recital）用以解释实施条款订立的动机。

当在英文合同中看到“whereas”，即出现“鉴于条款”。

鉴于条款的作用：

1，鉴于条款有助于合同整体解释。

2，鉴于条款便于确定双方订立合同的原则。

3，鉴于条款有利于保障协议各方行使法定解除权。

《合同法》第九十四条规定：

当因不可抗力、当事人一方迟延履行债务或者有其他违约行为致使不能实现合同目的，当事人可以解除合同。

Whereas party a possesses proprietary technical information including designs, techniques, workmanship, formulas, skills and other data useful in the manufacture and marketing of certain products; and

Whereas party b desires to acquire the right and licence to use the above-mentioned technical assistance for the purpose of manufacturing, using and selling such products; and

Whereas party b desires to use the following trademarks owned by party a.

Now therefore, the parties hereto do hereby agree on the contents of the agreement as follows:

Now therefore, in consideration of the mutual promises contained herein, the parties hereto do hereby agree on the contents of the agreement as follows:

鉴于借款人根据本协议规定的条件和款项，已向银行要求向借款人提供一笔本金为100万美元（US$ 1,000,000）的定期贷款；

鉴于银行根据本协议规定的条件和款项，已准备向借款人提供此项定期贷款；

据此，以双方相互承诺为对价，就下述内容达成一致。
