隐名合伙人（sleeping partner），是指当事人的一方对另一方的生产、经营出资，不参加实际的经济活动，而分享营业利益，并仅以出资额为限承担亏损责任的合伙。出资的一方称为隐名合伙人；利用隐名合伙人的出资以自己的名义进行经济活动的一方称为出名营业人。上市前，证监会会询问合伙人是否为为代持人（也就是是否隐名），所以上市来说，合伙人企业法理上是可以放心做IPO股东的。

隐名合伙人的义务：

（1）出资，隐名合伙人应对出名营业人出资，此为其当然之义务。

（2）分担损失，合伙如经营失败而有损失时，隐名合伙人亦应于其出资限度内，负分担损失之责任。

隐名合伙人和一般合伙人（general partner）的区别：
