Restricted Shares Award Agreement，受限股票授予协议，该协议中，Restrictions on Transfer条款是常见条款。常见表述如下：

Except to the limited extent provided in Section 7 of this Agreement or pursuant to the written consent of the Committee, the Restricted Shares and the rights and privileges conferred hereby shall not be transferred, assigned, or otherwise disposed of in any way (whether by operation of law or otherwise) prior to vesting. Upon any attempt to transfer, assign, or otherwise dispose of any Restricted Share prior to vesting, or any right or privilege conferred hereby, this grant and the rights and privileges conferred hereby shall immediately become null and void.

除非本协议第7条另有规定或证交会书面同意，受限股票及其相应的权利和特权在授予前，不可转让或以其他任何方式处置(无论以法律方式或其他)。如发生任何企图的转让或以其他方式处置受限股票或受限股票的任何权力或特权，本授予以及相应的权利和特权立即无效。

In the event of granting written consents for any transfer of the Restricted Shares before vesting, the Committee shall have the fullest discretion permitted by applicable laws in deciding the extent to which, and stipulating terms and conditions under which, such transfer may be allowed. In the event of a transfer of part or all of the Restricted Shares held by you as consented to by the Committee, you hereby acknowledge and agree that you have the obligation to ensure that the transferee will be subject to and comply with the same terms, conditions,requirements and restrictions imposed on you by the Company in connection withthe Restricted Shares granted hereunder.

如就任何受限股票在授予前的转让给予书面同意，证交会有权在法律允许范围内，全权决定该等转让的范围、转让的条款和条件。如证交会同意您转让部分或全部受限股票，您特此了解并同意您有义务确保受让方应遵守公司施加于您的关于受限股票授予的同等条款、条件、要求和限制。
