“Certificate of Good Standing”指的是公司的“信誉良好证明书”，亦称存继证明书，系由离岸公司注册国政府或其注册代理所出具的合法证明文件，以证明该公司并不在清算程序中，或该公司并没有撤销注册。如果公司不是在有效存续中，则不能对外有任何法律行为。
