在合同中看到“of the essence”时，一定要多加注意，因为这一条款很可能被认为是首要条款（paramount clause）。如果出现这样的条款，表明该条款是一个必须满足的条件，稍有违反，非违约方就可以采取包括终止合同在内的一切救济手段，故该条款最大的风险在于非违约方采取的极端补救措施。比如，在一个运输合同中，存在这一条款。同时合同的其中一条规定，运输方应于2020年5月19日下午5点（背景时间）将运输船停靠在厦门的码头A，结果运输方没有按时到达，也许就差很短的一段时间，但如果委托方看运输市场大跌，则很可能会采取终止合同的方式，从而终止履行自己应履行的合同义务，并要求运输方赔偿相应的损失。这时，运输方就处于非常被动的地位。如果在合同中没有约定“Time is of the great essence in the Agreement。”，则合同方一般不能够采取终止合同的方式，只能要求运输方补偿其遭受的损失，而实际上委托方也许根本就没有遭受任何损失。因为运输方可能就推迟了1个小时，并且完全可以在合同约定的时间内完成装船任务。但就因为规定了这么一个条款，结果天壤之别。
