(A)The Seller is the owner of the entire member in the Target Company

(B)The Seller wishes to sell and the Buyer wishes to buy the Member Interest on the terms and subject to the conditions of this agreement.

THE PARTIES AGREE as follows:

鉴于：

(A)卖方拥有目标公司的全部权益；

(B)卖方意欲按照本协议条件出售，而卖方准备按照本协议条件购买这些权益。
