根据《元照英美法词典》：agent是指代理人，是代理关系中的一方当事人，即依照委托人的授权，以委托人的名义从事代理活动的人（一般是商务、贸易业务代理）；proxy也是代理人，代表，尤用于公司法中，指由公司股东授予权利，代表其参加公司会议并投票的人。如：

1、董事因故不能出席董事会会议，可以书面委托代理人出席董事会。

  If a director is unable to attend a board meeting for any reason, he may appoint a proxy by a power of attorney to attend the meeting.（此处的代理人是公司法中的代理参加会议并投票，要用proxy而不是agent）

2、本协议的任何内容或本协议任何条款的履行，无意表示、亦不应被理解为任何一方为任何目的可以充当另一方的代理人、法定代表、子公司、合营方、合作伙伴、雇主或雇员。

  Nothing in this Agreement or in the performance of any of its provisions is intended or shall be construed to constitute either party an agent, Legal representative, subsidiary, joint venturer, partner, employer, or employee of the other for any purpose whatsoever．
