先来看一下quorum的英文定义：

A quorum is the minimum number of members of a group or committee required to be in attendance in order for that group to be able to take official action. Groups that often have quorum requirements include legislative bodies, corporate boards of directors, and corporate shareholder meetings.

这段话中有一个词很关键，那就是attendance。其大概意思就是说是某一团体或委员会为采取某一正式行动而须在投票时出席的成员最低人数。

再来看一下元照英美法词典对quorum一词的解释：

法定人数

指立法机构、委员会、董事会、股东大会、债权人会议等商议事务或投票时出席的成员所必须达到的最低数目。法定人数由宪法、法规、公司章程、俱乐部章程等规定，通常为超过半数。不足法定人数时作出的决定无效。其复数形式为quorums。

由上可知，quorum做法定人数的情况主要指的是投票表决时出席的最低人数。如以下为某开曼群岛公司章程中的示例：

The necessary quorum shall be one or more persons holding or representing by proxy at least one-third of the issued shares of the class or series and that any holder of shares of the class or series present in person or by proxy may demand a poll.

最低法定人数为亲自或通过代理人持有至少三分之一该类别或系列已发行股份的一人或多人，亲自或通过代理人参加会议的该类别或系列股份的任何持有人均可要求投票表决。

No business shall be transacted at any general meeting unless a quorum of Members is present at the time when the meeting proceeds to business. 任何股东大会在商议任何事项时，当时出席会议的股东必须达到法定人数，方可商议该事项。合计持有公司已发行的全部有表决权股本的至少三分之一的至少一名股东亲自或通过代理人参加会议并拥有表决权的，就所有目的构成法定人数。

而“导致董事会成员低于法定人数”中的法定人数并未涉及投票，因而不可以用quorum表示。至于这一表达的译法，可以借鉴这一段话中的英文表达，即the minimum number required by law。

Number of Directors. The business and affairs of the Corporation shall be managed under the direction of the board of directors of the Corporation (the “Board of Directors”).
