股份两合公司，是指由一名以上的无限责任股东和有限责任股东组成的公司。无限责任股东对公司债务负连带无限责任。有限责任股东仅就其认购的股份对公司债务负责。有限责任部分资本分为等额股份，发行股票，由股东认购。无限责任股东在公司中占主导地位，掌管公司内外事务。一般从无限责任股东中选举一人或数人为业务执行人。有限责任股东不能代表公司，但成立的股东会可以选举监察人，对公司的事务进行监督。股东大会不是公司最高决策机构，只代表有限责任股东，其决议往往对无限责任股东不发生效力，除非经无限责任股东同意。兼具无限公司与股份有限公司性质。
