Subject to the terms and conditions of this Agreement, Buyer shall cause the WFOE or Buyer Designee to assume and agree to pay, perform and discharge when due all the liabilities under the agreements, contracts, and other arrangements related to the Purchased Assets which shall arise after the Closing (collectively, the “Assumed Liabilities”).
