《外商投资法》第四条对“负面清单”的定义是：指国家规定在特定领域对外商投资实施的准入特别管理措施。第二十八条作出了进一步规定：外商投资准入负面清单规定禁止投资的领域，外国投资者不得投资；外商投资准入负面清单规定限制投资的领域，外国投资者进行投资应当符合负面清单规定的条件；外商投资准入负面清单以外的领域，按照内外资一致的原则实施管理。

从上述规定可以看出，负面清单列出的是政府限制、禁止的主体、范围、领域等，换句话说，除去清单限制、禁止的主体、行为等以外其他主体、行为等均是允许的。

正面清单，即积极清单，正好与负面清单相反，明确列出的是政府允许的主体、范围、领域等，也就是只能在清单规定的范围内行动。

相比较而言，负面清单的范围比正面清单广，主体行动的自由度更广，市场开放程度更高。
